This Plan of Liquidation (the "Plan"), dated as of August 3, 2018, is entered into by and between American Tax Credit Trust, a Delaware statutory business Series I (the "Trust"), and Richman American Credit Corp., a Delaware corporation (the "Manager"), for the purposes of completing the liquidation and winding up of the Trust.
