AMENDMENT NO. 2 dated as of May , 2007 (the "Amendment") to the Deposit Agreement dated as of December 1, 1993, as amended as of July 2, 2001 (as so amended, the "Deposit Agreement"), among Peugeot S.A. and its successors (the "Company"), incorporated under the laws of The Republic of France, JPMorgan Chase Bank, N.A. (fka Morgan Guaranty Trust Company of New York), as depositary (the "Depositary"), and all Holders from time to time of American Depositary Receipts ("Receipts") issued thereunder.
