This INTERCREDITOR AGREEMENT, dated as of August 18, 2003, is among FLEET NATIONAL BANK, in its capacity as the Administrative Agent under the Credit Agreement (as defined below) (in such capacity, the "Administrative Agent"), CREDIT SUISSE FIRST BOSTON, in its capacity as Syndication Agent under the Credit Agreement (as defined below) (together with any successor(s) thereto in such capacity, the "Syndication Agent"), WELLS FARGO BANK MINNESOTA, N.A., as trustee and collateral agent under the Indenture referred to below (in its capacity as collateral agent, the "Trustee"), Advanstar Communications Inc., a New York corporation ("Advanstar" or the "Borrower") and each other Obligor (as defined below) party hereto.

This Agreement is made pursuant to the Purchase Agreement, dated August 4, 2003 (the "Purchase Agreement"), by and among the Company, the Guarantors and the Initial Purchasers. In order to induce the Initial Purchasers to purchase the Initial Notes, the Company has agreed to provide the registration rights set forth in this Agreement. The execution and delivery of this Agreement is a condition to the obligations of the Initial Purchasers set forth in Section 6 of the Purchase Agreement. Capitalized terms used herein and not otherwise defined shall have the meaning assigned to them in the Indenture, dated as of August 18, 2003 (the "Indenture"), among the Company, the Guarantors and Wells Fargo Bank Minnesota, N.A., as Trustee (the "Trustee"), relating to the Initial Notes and the Exchange Notes (as defined below).

THIS EMPLOYMENT AGREEMENT (the "Agreement") is made and entered into as of November 21, 2003 by and between Advanstar, Inc., a Delaware corporation (the "Company"), and Joseph Loggia ("Executive"), with effectiveness from the Effective Date (as defined below in Section 8).
