Reference is made to the Amended and Restated Shareholder Service Agreement between us dated August 21, 2001, including Schedule A (the “Agreement”).

Pursuant to Section 1 of the Agreement, this letter is to provide written notice of the creation of three new series of shares of SA Funds – Investment Trust (the “Trust”), namely the SA U.S. Fixed Income Fund, SA Emerging Markets Fund, and SA Real Estate Securities Fund (the “New Series”).

We request that you confirm that you will act as Shareholder Service Agent with respect to the New Series and that Schedule A to the Agreement be amended in its entirety and replaced with a new Schedule A annexed hereto.
