DIREXION FUNDS SIXTH AMENDMENT TO THE FUND ACCOUNTING SERVICING AGREEMENT
SIXTH
AMENDMENT TO THE
THIS SIXTH AMENDMENT,
effective as of the 15th day of
March, 2009, to the Fund Accounting Servicing Agreement dated as of March 3,
2006, as amended May 1, 2007, January 11, 2008, May 8, 2008, June 4, 2008 and
December 23, 2008 (the “Fund Accounting Agreement”), is entered into by and
between Direxion Funds,
a Massachusetts business trust (the “Trust”) and U.S. Bancorp Fund Services,
LLC, a Wisconsin limited liability company (“USBFS”).
RECITALS
WHEREAS, the parties have
entered into a Fund Accounting Agreement; and
WHEREAS, the Trust and USBFS
desire to amend the Fund Accounting Agreement to revise the list of funds;
and
WHEREAS, Section 15 of the Fund
Accounting Agreement allows for its amendment by a written instrument executed
by both parties.
NOW, THEREFORE, the parties
agree as follows:
Exhibit A
of the Fund Accounting Agreement is hereby superseded and replaced with Exhibit
A attached hereto.
Except to
the extent amended hereby, the Fund Accounting Agreement shall remain in full
force and effect.
