AMENDMENT NO. 3 TO

PARTICIPATION AGREEMENT BETWEEN

TRANSAMERICA CAPITAL, INC. AND

TRANSAMERICA ADVISORS LIFE INSURANCE COMPANY

The Participation Agreement, dated October 20, 2008 (“Agreement”) between Transamerica Capital, Inc. (the “Underwiter”), and Transamerica Advisors Life Insurance Company (f/k/a Xxxxxxx Xxxxx Life Insurance Company) (the “Company”) is hereby amended as of May 1, 2012, as follows:

1. Schedule A of the Agreement is deleted in its entirety and replaced with the following Amended Schedule A:
