FIRST AMENDMENT TO DISTRIBUTION AGREEMENT
FIRST AMENDMENT TO
This First Amendment (“Amendment”) to the Distribution Agreement (the “Agreement”) dated as of May 31, 2017 by and between The Boston Trust & Xxxxxx Funds n/k/a Boston Trust Xxxxxx Funds ( “Fund Company”) and BHIL Distributors, LLC n/k/a Foreside Financial Services, LLC (“Foreside”) is entered into as of September 4, 2019 (the “Effective Date”).
WHEREAS, Fund Company and Foreside (“Parties”) desire to amend the Agreement to reflect unrelated changes in the Parties’ names from The Boston Trust & Xxxxxx Funds to Boston Trust Xxxxxx Funds and from BHIL Distributors, LLC to Foreside Financial Services, LLC;
WHEREAS, the Parties desire to amend Exhibit A of the Agreement to reflect a Fund change of name from “Xxxxxx Asset Management Fund” to “Xxxxxx Balanced Fund”; and
WHEREAS, Section 15 of the Agreement requires that all amendments and modifications to the Agreement be in writing and executed by the Parties.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:
1. Capitalized terms not otherwise defined herein shall have the meanings set forth in Agreement.
2. The Agreement is hereby amended to reflect unrelated changes in the Parties’ names from The Boston Trust & Xxxxxx Funds to Boston Trust Xxxxxx Funds and from BHIL Distributors, LLC to Foreside Financial Services, LLC.
3. Exhibit A to the Agreement is hereby deleted and replaced by Exhibit A attached hereto to reflect a Fund change of name from “Xxxxxx Asset Management Fund” to “Xxxxxx Balanced Fund;”
4. Except as expressly amended hereby, all of the provisions of the Agreement shall remain unamended and in full force and effect to the same extent as if fully set forth herein.
5. This Amendment shall be governed by, and the provisions of this Amendment shall be construed and interpreted under and in accordance with, the laws of the State of Delaware.
