This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into this 22nd day of November, 2011, between New York Mortgage Trust, Inc., a Maryland corporation (the “Company”), and Steven R. Mumma (the “Executive”). This Agreement amends, restates and supersedes in all respects that certain Employment Agreement, dated as of the 11th day of February, 2009, by and between the Company and the Executive.
