the “Agents” and each individually, an “Agent”) understand that Field Trip Psychedelics Inc. (the “Corporation”) proposes to issue up to 7,000,000 class A shares of the Corporation (the “Class A Shares”) at a price of $2.00 per Class A Share (the “Offering Price”) for aggregate gross proceeds of up to $14,000,000. The Corporation hereby grants to the Agents an option (the “Agents’ Option”), which may be exercised in the Agents’ sole discretion and without obligation, in whole or in part at any time before the Closing Date (defined below) by written notice delivered to the Corporation by the Agents, to offer up to an additional 500,000 Class A Shares for aggregate additional gross proceeds of up to $1,000,000. The offering of Class A Shares by the Corporation is referred to in this Agreement as the “Offering” and Class A Shares sold pursuant to this Agreement are referred to as the “Offered Shares”.
