Canaccord Genuity Corp. (the “Agent”) understands that Identillect Technologies Corp. (the “Corporation”) proposes to create, issue and sell by way of private placement a minimum of 7,000,000 subscription receipts and a maximum of 12,500,000 subscription receipts (each a “Subscription Receipt”) at a price of $0.20 per Subscription Receipt (the “Issue Price”) for a minimum gross proceeds of $1,400,000 and a maximum gross proceeds of $2,500,000 as further provided below (the “SR Offering”). Each Subscription Receipt shall entitle the holder to receive, without payment of any addition consideration, one unit (each, a “SR Unit”) of the Corporation, upon the satisfaction of the escrow release conditions. Each SR Unit will consist of one common share (each, a “Share”) of the Corporation and one common share purchase warrant (each, a “Warrant”).
