The undersigned, Haywood Securities Inc. (the “Agent”) hereby agrees to offer for purchase and sale on a ‘best efforts’ agency basis, and NervGen Pharma Corp. (the “Corporation”) agrees to issue and sell through the Agent, upon and subject to the terms hereof, a minimum of 7,000,000 common shares and a maximum of up to 10,000,000 common shares of the Corporation (the “Offered Shares”) at a price of $1.00 per Offered Share (the “Offering Price”) for gross proceeds of a minimum of $7,000,000 and a maximum of $10,000,000.
