AGREEMENT dated as of February 23, 2006, by and between MassMutual Premier Funds, a Massachusetts business trust (the “Trust”), and MML Distributors, LLC (“MMLD”), a Connecticut limited liability company having its principal place of business at 1414 Main Street, Springfield, MA 01144. This Agreement replaces and supercedes in its entirety that certain General Distributor’s Agreement dated October 12, 2004 between the Trust and MMLD.

This Agreement replaces and supercedes in its entirety that certain Amended and Restated General Distributor’s Agreement dated December 31, 2002 between the Trust and MMLD.
