This JOINT VENTURE LICENSE AGREEMENT (the “Agreement”) is entered into effective ____________ (the “Effective Date”) between JapanCo, a corporation incorporated under the laws of Japan (“JapanCo”) with offices at_____________, Tokyo 140-0004; and USCo, a Delaware limited liability company with offices at _________, Los Angeles, CA 90069 (“USCo”), and JapanJV , a corporation incorporated under the laws of Japan (“JapanJV”), with offices at __________, Tokyo 150-0031. As of the Effective Date, JapanCo owns 50.1% of the outstanding shares of JapanJV and USCo owns 49.9% of the outstanding shares of JapanJV.
