This JOINT VENTURE LICENSE AGREEMENT (the “Agreement”) is entered into effective ____________ (the “Effective Date”) between JapanCo, a corporation incorporated under the laws of Japan (“JapanCo”) with offices at_____________, Tokyo 140-0004; and USCo, a Delaware limited liability company with offices at _________, Los Angeles, CA 90069 (“USCo”), and JapanJV , a corporation incorporated under the laws of Japan (“JapanJV”), with offices at __________, Tokyo 150-0031. JapanCo, JapanJV and USCo hereinafter are each referred to as a “Party” and collectively referred to as the “Parties.” Capitalized terms used in this License Agreement but not defined herein have the meanings ascribed to them in the Joint Venture Operating Agreement (the “JV Agreement”). As of the Effective Date, JapanCo owns 50.1% of the outstanding shares of JapanJV and USCo owns 49.9% of the outstanding shares of JapanJV. This license agreement forms part of a set of agreements that is ancillary to the main joint venture
