The undersigned, Mackie Research Capital Corporation (the “Agent”) as lead agent and sole bookrunner, understands that NexTech AR Solutions Corp. (the “Corporation”) is contemplating a public offering of up to 2,307,692 units of the Corporation (the “Units”) at an offering price (the “Offering Price”) of $6.50 per Unit for aggregate gross proceeds of up to $15,000,000. Each Unit will be comprised of one Common Share (as defined herein, and each Common Share comprising a Unit being a “Unit Share”) and one half of one common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each Warrant shall entitle the holder thereof to acquire, subject to adjustment in certain circumstances, one common share (each a “Warrant Share”) at an exercise price of $8.00 at any time prior to the Expiry Date (as defined herein), subject to the acceleration provisions detailed herein.
