AGENCY AGREEMENTAgency Agreement • November 26th, 2024 • Alberta
Canaccord Genuity Corp. (the “Agent”) understands that ApartmentLove Inc. (the “Corporation”) proposes to issue and sell up to 3,000 unsecured convertible debenture units of the Corporation (the “Units”), at a price of $1,000 per Unit for aggregate gross proceeds of up to $3,000,000, subject to the terms and conditions set out below. In addition, the Corporation hereby grants the Agent an option (the “Agent’s Option”) to increase the size of the Offering by up to an additional 2,000 Units (the “Additional Units”) for additional gross proceeds of up to $2,000,000. The Agent’s Option is exercisable at any time up to 48 hours prior to the final Closing Date (as hereinafter defined). The Units, the Additional Units and the Corporate Finance Fee Units (as hereafter defined) are collectively referred to herein as the “Units” and each, individually, a “Unit”. The offer and sale of the Units and the Additional Units, if any, are collectively referred to as the “Offering”.
