Technical Olympic USA, Inc., a corporation organized under the laws of the State of Delaware (the “Company”), proposes to issue and sell to Deutsche Bank Securities Inc. (the “Initial Purchaser”), upon the terms set forth in a purchase agreement, dated April 5, 2006 (the “Purchase Agreement”) relating to the initial placement of the Notes (the “Initial Placement”), $250,000,000 aggregate principal amount of its 81/4% Senior Notes due 2011 (the “Notes”). The Notes will be unconditionally guaranteed (the “Guarantees” and together with the Notes, the “Securities”) on a senior unsecured basis by each of the Company’s direct and indirect domestic subsidiaries set forth on the signature page hereto (the “Guarantors”).
