Each of Janus Capital Management LLC (“JCM”) and Henderson Global Investors (North America) Inc. (“HGINA”) joins this Agreement solely for the purpose of agreeing to be bound by Article 5. HGI Group Limited joins this Agreement solely for the purpose of agreeing to be bound by paragraph 8.4 and Article 13 and making the representations and warranties in paragraph 3.3.
