(collectively with the Lead Agent, the “Agents” and each individually an “Agent”), understand that Northern Iron Corp. (the “Corporation”) proposes to issue and sell a combination of up to 41,666,666 non flow-through units of the Corporation (each, a “Non Flow-Through Unit”) at a price of $0.30 per Non Flow-Through Unit (the “Non Flow-Through Unit Offering Price”) and up to 15,151,515 flow-through units of the Corporation (each, a “Flow-Through Unit” and collectively with the Non Flow-Through Units, the “Purchased Units”) at a price of $0.33 per Flow-Through Unit (the “Flow-Through Unit Offering Price”); provided that the Agents agree that the Offering (as defined below) must raise gross proceeds of a minimum of $5,000,000 (the “Minimum Offering”) and a maximum of $12,500,000 through the sale of Purchased Units.
