This amendment (this “Amendment”) dated as of September __, 2011 (the “Amendment Effective Date”), is by and between Apple Pty Limited (“ITUNES”) and Sony Pictures Home Entertainment Pty Ltd. (as assignee of Sony Pictures Television Pty Ltd.) (“SPHE”) and amends that certain Digital Video Download Distribution Agreement between ITUNES and SPHE dated August 15, 2008 (Apple Contract No. 4710) (as amended and extended, the “DHE Agreement”). Except as modified or defined herein, all capitalized terms in this Amendment shall have the meanings set forth in the Agreement. In consideration of the mutual promises and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, notwithstanding anything to the contrary in the Agreement, ITUNES and SPHE (each, a “Party,” together, the “Parties”) hereby agree to amend the Agreement as follows:
