This twenty-second amendment (this “Twenty-Second Amendment”) dated as of March 15, 2013 (the “Amendment Effective Date”), is by and between Apple Inc. (“Apple”) and Culver Digital Distribution Inc (as assignee of Sony Pictures Television Inc.) (“CDD”), and amends that certain Digital Video Download Distribution Agreement between Apple and CDD dated April 29, 2008 (Apple Contract No. 4622) (as amended from time to time, the “Agreement”). Except as modified or defined herein, all capitalized terms in this Twenty-Second Amendment shall have the meanings set forth in the Agreement. In consideration of the mutual promises and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, notwithstanding anything to the contrary in the Agreement, Apple and CDD (each, a “Party,” together, the “Parties”) hereby agree to amend the Agreement as follows:
