(hereinafter referred to as “you” (including its correlatives) or the “Placement Agent”), with respect to the sale by the Company, through the Placement Agent, on a best efforts basis, of a minimum of two million five hundred thousand (2,500,000) common shares of the Company and a maximum of five million (5,000,000) common shares of the Company (the “Best Efforts Shares”), par value $0.001 per share (the “Shares”).
