Canaccord Genuity Corp. (the "Lead Agent"), together with Haywood Securities Inc. ("Haywood") (collectively with the Lead Agent, the "Agents", and each individually, an "Agent"), understand that RMMI Corp. (the "Company") proposes to make an initial public offering of a minimum of 1,700,000 and a maximum of 3,500,000 common shares in the capital of the Company (the "Base Shares"), for minimum aggregate gross proceeds of $4,250,000 and maximum aggregate gross proceeds of $8,750,000.
