New Leaf Ventures Inc., a company incorporated under the British Columbia Business Corporations Act (the “Corporation”), confirms its agreement (this “Agreement”) with, and appoints as its sole and exclusive agent on a best efforts basis, Research Capital Corporation (the “Agent”) to issue and sell common shares of the Corporation upon and subject to the terms and conditions contained herein.
