This Software Maintenance and Support Agreement (the "Agreement", “Maintenance Agreement”) is entered into as of 4. 4. 2017, by and between Ex Libris Ltd., an Israeli company with offices at Bldg. 8-9, Malcha Technological Park, Jerusalem, Israel ("Ex Libris"), and Česká zemědělská univerzita v Praze, a corporation with offices at Kamýcká 129, 165 00 Praha - Suchdol, Czech Republic, Company Registration Number: 60460709 ("User"). WHEREAS, User has purchased a license to use the Ex Libris Programs specified in Exhibit A attached hereto (the “Program”) in accordance with a license agreement by and between the User and Univerzita Karlova v Praze (the "License Agreement"); WHEREAS, User wishes to receive from Ex Libris ongoing software support, maintenance and update services for the Programs, as more fully set forth in this Agreement; and WHEREAS, Ex Libris wishes to provide said services in accordance with the terms and conditions hereinafter set forth.
