RECITALS WHEREAS, the Company and the Shareholder or one of its Principal Shareholder Affiliates (as defined below) (the “Purchaser”) are, concurrently herewith, entering into a Stock Purchase Agreement, as the same may be amended from time to time (the “Purchase Agreement”), which provides for, among other things, the purchase and sale of shares of common stock, par value $0.10 per share, of the Company (the “Common Stock”).
