This letter agreement (“Agreement”) confirms the terms under which iHeartMedia, Inc., iHeartCommunications, Inc. and iHeartMedia Capital I, LLC and each of their wholly-owned subsidiaries (collectively and jointly and severally, including any entity used or formed for the purposes set forth herein, the “Company” or “you”) has engaged Perella Weinberg Partners LP (together with its corporate advisory affiliates, “Perella Weinberg Partners,” “we” or “us”) to represent and advise the Company and, in connection therewith, reporting solely to the above-named independent directors of the Company (the “Independent Directors”) in their capacity as such. The engagement set forth herein constitutes our “Engagement”. This Agreement amends and restates, in its entirety, that certain letter agreement dated January 23, 2017 by and between the Company and Perella Weinberg Partners.
