As of its effective date this Agreement will replace and supersede in its entirety the letter agreement between you and the Company dated May 10, 2012 (the “Prior Agreement”), except that the terms of your Proprietary Information, Inventions, Non-Solicitation, and Non-Competition Agreement executed on May 27, 2012 shall continue to apply.
