THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of February 4, 2022, is made and entered into by and among (a) Leafly Holdings, Inc., a Delaware corporation (formerly, Merida Merger Corp. I, the “Company”), (b) Merida Holdings, LLC, a Delaware limited liability company (the “Sponsor” and together with its Permitted Transferees (as defined herein), the “Sponsor Holders”), (c) EarlyBirdCapital, Inc.
