THIS AGREEMENT is made and entered into as of this 17th day of September, 2007, by and between the UPPER VALLEY WASTE MANAGEMENT AGENCY, a joint powers Agency organized under the laws of the STATE OF CALIFORNIA (hereinafter referred to as "AGENCY"), and Philip Services Corporation (also known as “PSC”) and 21st Century Environmental Management Inc. of Nevada, a wholly owned subsidiary of PSC, whose mailing address is 535 Getty Court, Suite H, Benicia CA, 94510 (hereinafter collectively referred to as “ CONTRACTOR").
