The Goldman Sachs Group, Inc., a Delaware corporation (the “Company”), proposes to issue and sell from time to time its Medium-Term Notes, Series D (the “Securities”), and agrees with each Agent as set forth in this Amended and Restated Distribution Agreement (this “Agreement”) between the Company and Goldman Sachs & Co. LLC, formerly known as Goldman, Sachs & Co. (“GS&Co.”), which amends and restates in its entirety the Amended and Restated Distribution Agreement dated September 15, 2014, as amended, between the Company and GS&Co. Each of the terms “the Agents”, “such Agent”, “any Agent”, “an Agent”, “each Agent”, “the Purchasing Agent” and “the Selling Agent”, when used in this Agreement or in any Terms Agreement (as defined below) or in the Annexes hereto, shall mean GS&Co. except at any time when more than one Agent is acting as such hereunder, as contemplated in Section 10 hereof.
