Contract Type FiledSeptember 2nd, 2020 JurisdictionThis Development Agreement (“Development Agreement”) between The Sports Authority of the Metropolitan Government of Nashville and Davidson County (“Authority”) and Walsh Management LLC, a Tennessee limited liability company (“StadiumCo”), is entered into this day of July, 2020 (the “Effective Date”). The Authority and StadiumCo collectively are referred to herein as the “Parties” and individually as a “Party.” This Development Agreement shall be attached to and made a part of that certain Lease Agreement (the “Lease”) to be entered into between the Authority and StadiumCo. In the event of a conflict between any provision of the Lease and this Development Agreement prior to Completion of the Stadium, the terms and provisions of this Development Agreement shall govern and control. In consideration of the mutual covenants and promises contained herein and in said Lease, the Authority and the StadiumCo agree as follows:
