Eight Capital and Gravitas Securities Inc. (collectively, the “Agents”) understand that Gabriella’s Kitchen Inc., a company incorporated under the laws of the Province of Alberta (the “Company”) proposes to issue and sell, by way of private placement (the “Offering”), up to $6,000,000 in units of the Company (“Units”), at $1,000 per Unit (the “Issue Price”). Each Unit shall be comprised of one senior unsecured convertible debenture with a principal amount of $1,000 (a “Debenture”) and 3500 common share purchase warrants of the Company (each, a “Warrant”).
