WHEREAS, Duke is the owner of that certain 1.54 +/- acre tract of land located adjacent to West Third Street and within the City limits of the City of Rome, Floyd County, Georgia, more particularly described as Tax Parcel J14D-003, and more specifically described on Exhibit A attached hereto and incorporated by reference (the “Property”); and
