Transfer Agency and Services Agreement (the “Agreement”) made this day of , 2006, between Financial Investors Variable Investment Trust, a Delaware Statutory Trust (the “Trust”) on behalf of the five portfolios having two classes of shares, listed in Appendix A attached hereto (each portfolio and any additional portfolios that may be established by the Trust is referred to herein individually as a “Portfolio” and collectively as the “Portfolios” or the “Ibbotson ETF Asset Allocation Portfolios”) and ALPS Fund Services, Inc., a Colorado corporation (the “Transfer Agent”).
