Echelon Wealth Partners Inc. (the "Agent"), understands that VSBLTY Groupe Technologies Corp. ( the "Company") proposes to issue and sell (the "Offering") 16,000,000 units (the "Units") in the Company at a price of $0.50 per Unit (the "Offering Price") for aggregate gross proceeds of $8,000,000. Each Unit shall consist of one common share of the Company (a "Unit Share") and one half of one common share purchase warrant of the Company (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire, subject to adjustment in accordance with the Warrant Indenture (as defined herein), one common share of the Company (a "Warrant Share") at a price of $0.65 per Warrant Share at any time prior to 5:00 p.m. (Toronto time) on the date that is 36 months following the Closing Date ( as defined herein) (the "Expiry Date") on the terms and subject to the conditions governing the Warrants as contained in the Warrant Indenture.
