National Bank of Canada, a Canadian chartered bank (“we,” “us” or the “Bank”), may from time to time offer up to U.S.$3,500,000,000 in aggregate principal amount of notes (the “Notes”) in one or more series under the U.S.$3,500,000,000 Structured Note Program (the “Program”). National Bank of Canada, New York Branch (the “Guarantor”) has agreed to unconditionally and irrevocably guarantee payments of interest and principal under the Notes (the “Guarantee”), which constitutes the direct, unsecured and unsubordinated obligations of the Guarantor. The Bank is licensed by the Superintendent under the New York Banking Law to maintain a branch office in New York State.
