National Bank of Canada, New York Branch (the “Guarantor”) has agreed to unconditionally and irrevocably guarantee payments of interest and principal under the Notes (the “Guarantee”), which constitutes the direct, unsecured and unsubordinated obligations of the Guarantor. The Bank is licensed by the Superintendent under the New York Banking Law to maintain a branch office in New York State.
