AGREEMENT, dated as of July 20, 2009 (this “Agreement”), dated as of January 1, 2012 (the “Effective Date”), is by and between Novia CareClinics, LLC, an Indiana limited liability company (“Novia”), and Center Grove Community School Corporation, County of Johnson, State of Indiana (“Client”). (Novia and Client are sometimes hereinafter referred to as the “Parties”.)
