WHEREAS, the City of Fishers, Hamilton County, Indiana (“City”) entered into a certain Clinic Management Agreement dated November 15, 2008, as amended by the First Amendment and Consent to Assignment dated April 13, 2014, as amended by a Second Amendment to Clinic Management Agreement dated March 19, 2015, and further amended by a Third Amendment dated September 1, 2016 with QUAD/MED, LLC, (“QuadMed”) which provided on-site clinic services to City employees (collectively, the “Agreement”); and
