In consideration of the payments to be made and obligations to be performed by Edison, Consultant shall perform the specified Work and its other obligations as an independent contractor (not as an employee or agent of Edison), all as set forth in the Purchase Order which incorporates these Terms and Conditions for Materials and Related Services. Contractor consents to, and agrees that EMS may resell, assign and transfer to Edison the right to receive Contractor’s performance of any Work, provision of Deliverables or other obligations under a Purchase Order and the right to receive and enforce any benefits rendered by Contractor under a Purchase Order, including without limitation, all warranties, indemnities and insurance coverages under the Agreement.
