The undersigned, RBC Dominion Securities Inc. (“RBC”), CIBC World Markets Inc., GMP Securities L.P., TD Securities Inc., BMO Nesbitt Burns Inc., HSBC Securities (Canada) Inc., National Bank Financial Inc., Scotia Capital Inc., Canaccord Genuity Corp, Macquarie Private Wealth Inc. and Raymond James Ltd., (collectively, the “Agents” and each individually, an “Agent”) understand that Marret High Yield Strategies Fund (the “Fund”) proposes to complete an offering (the “Offering”) of a maximum of 18,500,000 Units of the Fund (the “Offered Units”) at a price of $11.05 per Offered Unit. The Offered Units shall have the material attributes described in the Final Prospectus (as defined below).
