THIS EXCHANGE AGREEMENT is made this day of , 2011, by and between BILLINGS CLINIC, formerly known as Deaconess Billings Clinic, a Montana nonprofit corporation, with mailing address at P.O. Box 37000, Billings, Montana (“Billings Clinic”), and THE CITY OF BILLINGS, MONTANA, a municipal corporation, 210 North 27th Street, Billings, Montana 59101 (“City”). Billings Clinic and City shall each individually be referred to herein as a “Party” and shall collectively be referred to as the “Parties.”
