THE PARTIES to this Agreement therefore agree: 1. DEFINITIONS In this Agreement: (a) “Acts” means the Securities Act (British Columbia) and the Securities Act (Alberta) and the regulations and rules made thereunder and all instruments, policy statements, blanket orders, notices, directions and rulings issued by the Commissions, all as amended; (b) “Agent” means Haywood Securities Inc.; (c) “Agent’s Commission” means the commission payable by the Issuer to the Agent pursuant to subsection 3.1;
