This Exchange Agreement (“Agreement”) is made on between the City of Holland, a Michigan municipal corporation with its principal offices located at 270 South River Avenue, Holland, Michigan 49423 (the “City”), and Geenen DeKock Properties, L.L.C., a Michigan limited liability company located at 12 W. 8th Street, Suite 250, Holland, Michigan 49423 (“GDK”). Throughout this Agreement, the City and GDK are each referred to individually as a “Party” and collectively as the “Parties”.
