WHEREAS, Plaintiff Crooksville Family Clinic, Inc. and Defendants Quest Diagnostics Incorporated, MedPlus, Inc. (now known as Quest Diagnostics Clinical Laboratories, Inc.), and David Mills (individually, the "Party," and collectively, the "Parties") recognize that, pursuant to discovery or otherwise during the course of the lawsuit between the Parties ("this Action"), the Parties may be required to disclose trade secrets and other confidential and proprietary information within the meaning of Rule 26(c) of the Federal Rules of Civil Procedure; and
