Pursuant to separate concert party agreements entered into between: (i) Ms. Liu and Dr. Tu on July 3, 2017; (ii) Ms. Liu and Mr. Xu Xiaoli on July 3, 2017; (iii) Ms. Liu and Guangzhou Yuanchuang II on April 13, 2018; and (iv) Ms. Liu and Ms. Ma Yingchun on July 18, 2019 (together the “Concert Party Agreements”) (each a “Concert Party” and collectively, the “Concert Parties”), each of the Concert Parties (other than Ms. Liu) has agreed to act in concert with Ms. Liu in respect of the decision making at Board meetings, Shareholders’ meetings and other meetings where the Concert Parties are to exercise their respective voting rights as Shareholders relating to the business operation, corporate governance and major issues of our Company. Pursuant to the Concert Party Agreements, Ms. Liu shall convene meetings with each Concert Party to communicate with each other sufficiently to reach consensus.
