On July 29, 2015, our Ultimate Controlling Shareholders, namely Mr. Wang, Mr. Xu and Mr. Qin, entered into the Original Acting-in-concert Agreement, pursuant to which our Ultimate Controlling Shareholders have acted in concert by aligning their votes at the board meetings and shareholders’ meetings of Netjoy Network. On March 28, 2016, Mr. Chen and Mr. Qin entered into a concert party agreement, pursuant to which they acknowledged and confirmed that they had been acting in concert excising their rights as shareholders of Readboy Technology before entering into the agreement, and agreed to continue the same going forward. On April 1, 2021, Mr. Chen and Mr. Qin further entered into the Concert Parties Confirmatory Deed, pursuant to which they reaffirmed that they had been acting in concert in respect of each of the members of our Group before the date of the Concert Parties Confirmatory Deed, and shall continue the same thereafter. They have undertaken to continue to act in concert directly or indirectly through the companies controlled by them. They have also agreed to, among others, vote unanimously at all meetings of the shareholders of each member of our Group, discuss and reach consensus with each other before proposing to such meetings, and act in concert in respect of the business operations,

Pursuant to separate concert party agreements entered into between: (i) Ms. Liu and Dr. Tu on July 3, 2017; (ii) Ms. Liu and Mr. Xu Xiaoli on July 3, 2017; (iii) Ms. Liu and Guangzhou Yuanchuang II on April 13, 2018; and (iv) Ms. Liu and Ms. Ma Yingchun on July 18, 2019 (together the “Concert Party Agreements”) (each a “Concert Party” and collectively, the “Concert Parties”), each of the Concert Parties (other than Ms. Liu) has agreed to act in concert with Ms. Liu in respect of the decision making at Board meetings, Shareholders’ meetings and other meetings where the Concert Parties are to exercise their respective voting rights as Shareholders relating to the business operation, corporate governance and major issues of our Company.
