(collectively “Wells Fargo” or the “Company”), pursuant to authority granted by the Company’s Board of Directors reflected in Exhibit D, to resolve the federal criminal investigation of violations of, among other statutes, Title 18, United States Code, Sections 1005 and 1028A, arising out of Wells Fargo’s improper sales practices (as defined below).
