THIS DEVELOPMENT AGREEMENT (the "Agreement") is made and entered into in the City of Coachella on the day of , 2014, by and between the CITY OF COACHELLA, a municipal corporation ("City"), and PSAV LLC, a Delaware limited liability company and LLSE Holdings LLC, a New Jersey limited liability company (collectively “Landowner" or “Owner”), pursuant to the authority of Sections 65864 – 65869.5 of the California Government Code and the applicable provisions of the municipal code of the City of Coachella. The City and the Landowner are hereinafter, from time to time, individually referred to in this Agreement as a “Party” and collectively referred to as the "Parties.”
